Terms of Service
These Terms of Service (“Terms”) govern your access to and use of the bdx-mcp service (the “Service”) provided by BuildingLogiX, Inc. (“BuildingLogiX,” “we,” “us”). By signing in or by authorizing any MCP client to access the Service on your behalf, you accept these Terms.
1. The Service
bdx-mcp is a multi-tenant Model Context Protocol (MCP) server that exposes read access to your organization's BDX site data (buildings, components, hierarchy, trend data) through MCP-compatible AI clients. The Service is provided to customers under a separate written agreement (the “Order” or “Master Subscription Agreement”); if there is any conflict between these Terms and that agreement, the signed agreement controls.
2. Eligibility and accounts
You may use the Service only if you have been invited by a BuildingLogiX administrator and your email has been associated with a tenant in our system. You are responsible for safeguarding the email account and any access tokens or API keys issued to you, and for all activity that occurs under your identity.
3. Acceptable use
Your use of the Service is subject to the Acceptable Use Policy, which is incorporated into these Terms by reference. The AUP describes how AI tools may use BDX data on your behalf, your organization's responsibility for data-governance compliance, and prohibited conduct.
4. Customer data and privacy
How BuildingLogiX handles personal information and operational building data is described in the Privacy Notice. Building-system data retrieved through the Service is the property of, and remains controlled by, the customer organization that operates the BDX site; BuildingLogiX accesses it only to deliver the Service.
5. AI clients are independent third parties
The Service is intentionally compatible with a wide range of third-party AI clients (Claude Desktop, Claude Code, ChatGPT, Microsoft 365 Copilot, GitHub Copilot, Gemini, and others). Those clients are not operated by BuildingLogiX, and their data, retention, and training practices are governed by their own terms and privacy policies. BuildingLogiX makes no representation that any particular AI client is suitable for your data, your regulatory environment, or your internal data-governance policy. Your selection of an AI client is your responsibility.
6. Suspension
We may suspend or revoke access for any individual user, MCP client registration, API key, or tenant if we reasonably believe the AUP or these Terms have been violated, if continued access creates a security risk, or if required by law. We will use reasonable efforts to give notice but are not required to do so in the case of active security incidents.
7. Warranty disclaimer
Except as expressly stated in a signed agreement with BuildingLogiX, the Service is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy of data returned by the Service or by any connected AI client.
8. Limitation of liability
To the maximum extent permitted by law, BuildingLogiX' total liability arising out of or related to the Service is limited as set forth in the customer's signed agreement. In no event will BuildingLogiX be liable for indirect, incidental, special, consequential, or punitive damages, or for any output produced by a third-party AI client whose access was authorized through the Service.
9. Changes
We may update these Terms, the AUP, or the Privacy Notice. When we make a substantive change we publish the new effective date and bump the policy version, and we require each active user to accept the updated documents at next sign-in before continuing to authorize MCP clients.
10. Governing law
These Terms are governed by the laws of the State of North Carolina, USA, without regard to its conflict-of-laws principles, unless a different forum is specified in a customer's signed agreement.
